3. Use of Provided Materials
Clients hereby grant Firebird PR Agency Inc. an exclusive, royalty-free, irrevocable, worldwide license to utilize provided materials. These materials may include, but are not limited to, photos, videos, written content, and visual materials, which are vital components of PR campaigns. It is important to note that the selection of materials for publication is determined by third-party publishers and lies outside the direct control of Firebird PR Agency Inc.
4. Intellectual Property Ownership and Compliance
Firebird PR Agency Inc. retains ownership of all intellectual property, including copyrights, trademarks, and trade secrets, generated during the provision of services. Clients warrant that any materials they provide do not infringe upon the intellectual property rights of third parties and have been obtained in compliance with all relevant laws and regulations.
5. Ethical and Legal Conduct
Clients affirm their mental, legal, and contractual capacity to engage in contracts under the laws of the Province of Ontario. Clients commit to conducting themselves in a legal, ethical, and professional manner throughout the duration of PR campaigns. Any behavior that could potentially hinder the success of a campaign is discouraged.
6. Acknowledgment of Unpredictable Factors
Clients acknowledge that the outcomes of PR campaigns are influenced by a multitude of factors that may extend beyond the control of Firebird PR Agency Inc. Firebird PR Agency Inc. is not held responsible for the selection, implementation, or outcomes of PR campaigns. Clients agree to indemnify, defend, and hold harmless Firebird PR Agency Inc. from any claims or liabilities arising from their actions or omissions during PR campaigns.
7. Non-Refundable Services
It is acknowledged that the personalized nature of our PR services renders them tailored specifically to clients' unique needs. Consequently, once the implementation process has commenced, services are deemed non-refundable. This policy applies without exception, irrespective of circumstances that may arise after the initiation of personalized services.
8. Indemnification for Claims
Clients agree to indemnify, defend, and hold harmless Firebird PR Agency Inc. from and against any claims, liabilities, damages, losses, and expenses that may arise out of or be related to the services provided. This includes, but is not limited to, claims by third parties alleging infringement of intellectual property rights.
